IEPF Claim Without a Nominee: What Legal Heirs Must Do
12 October 2026 · 9 min read
This is the case that worries families most: the shareholder has passed away, there is no nomination, and nobody is sure who the shares legally belong to. The good news is that for smaller holdings, SEBI's simplified transmission rules mean you usually do not need a court order.
Step 1 — Establish who the legal heirs are
Obtain the death certificate and a legal heir certificate (from the local municipal authority or tehsildar) listing every heir. All heirs must be identified — a missing heir discovered later can stall or reverse the claim.
Step 2 — Decide who claims
The heirs choose one person to receive the shares, and every other heir signs a no-objection certificate (NOC) on stamp paper. Alternatively, the holding can be transmitted jointly or split, but a single claimant with NOCs is the fastest route.
Step 3 — Use the simplified transmission route
For holdings below the RTA's threshold (limits differ by company and are revised from time to time — verify the current figure), the RTA accepts a transmission application with: death certificate, legal heir certificate, an indemnity bond from the claimant, affidavits, and NOCs from the remaining heirs. No succession certificate, no court.
Step 4 — File IEPF-5 with the succession pack
If the shares are already with IEPF, the heir files IEPF-5 with their own demat and bank details, and the physical pack includes the full succession document set. The company verifies the heirship as part of its report to the IEPF Authority.
Step 5 — Credit and distribution
Shares are credited to the claimant's demat account and dividends to their bank. The family then distributes value among the heirs as agreed in the NOCs.
What makes these cases slow
Heirs abroad who cannot sign quickly, disagreements over who should claim, and affidavits rejected for wording. Getting every heir's signature and document collected before filing anything is the single biggest time-saver.
